Thank you for visiting www.deeptechip.com.au (the Site). This Site is operated by MICRORECYCLING AUSTRALIA PTY LTD ABN 39 603 345 008 (trading as “DeepTech IP"), (DeepTech IP or the Company). By accessing and/or using this Site and related products or services, you agree to these Terms of Service. These Terms apply to all users of the Site, including without limitation users who are browsers, Course Providers, Users and / or contributors of content. You should review our Privacy Notice (available at www.deeptechip.com.au/privacy) and these Terms carefully and immediately before using the Site. By accessing or using any part of the Site, you agree to be bound by these Terms. You should cease using our Site or related products or services if you do not agree to these Terms. We reserve the right to update, change or replace any part of these Terms by posting updates and / or changes to our website. It is your responsibility to check this page periodically for any changes. Your continued use of or access to the Site following the posting of any changes constitutes acceptance of those changes

In these Terms, ‘us’, ‘we’ and ‘our’ means the Company, and ‘you’ means an Employer or User as defined below.

No representation or warranty in relation to services
The Site is a platform where users (Users) may complete company-sponsored online learning programs (Online Programs) posted by course providers (Course Providers). The Company makes no representation, undertaking or warranty whatsoever as to:

whether the Online Programs will be helpful, useful, suitable, appropriate or otherwise beneficial to the User;
any connection between the User completing an Online Program and the User securing employment as a result of completing the Online Program; and the accuracy, validity, legality, quality or applicability of the content of the Site, including any content in the Online Programs. To the maximum extent permitted by law, DeepTech IP will not be liable for any claims or damages that may arise in connection to the Online Programs.

By accessing and/or using the Site or its related products or services, you hereby release and agree to hold harmless DeepTech IP, its directors, shareholders, members, successors, advisors, the Course Providers and any other corporate or not-for-profit partners from any and all causes of action, claims of any nature and damages resulting from the Site.

Registration for Online Programs
You must be a registered user to complete an Online Program.

When you register and activate your account, you may provide us with personal information including but not limited to your name, email address, details regarding your education, place of employment, previous work history, and current work status / preferences. You must ensure that this information is accurate and current. We will handle all personal information we collect in accordance with our Privacy Notice (which can be accessed at www.deeptechip.com.au/privacy). All personal information or data we collect from you (including data submitted on an optional basis) will be used to provide the services (namely hosting the Online Programs posted by Course Providers). In order to provide these services, certain data analysis on such data is required.

When you register and activate your account, you will need to create a user name and password. You are responsible for keeping this user name and password secure and are responsible for all use and activity carried out under this user name.

To create an account, you must be:

at least 16 years of age (or, if you are under 16 years of age, you must have permission from your parent or legal guardian to create an account);
possess the legal right and ability to enter into a legally binding agreement with us; and
agree and warrant to use the Site in accordance with these Terms.
Collection Notice
We collect personal information about you in order to process your registration, to enable you to complete Online Programs if you are a User, to enable you to access the enterprise system if you are a Course Provider and for purposes otherwise set out in our Privacy Notice (available at www.deeptechip.com.au/privacy)

We may disclose that information to third parties that help facilitate the provision of services (including information technology suppliers, communication suppliers and our business partners) or as required by law. In particular, where you provide consent to share your personal data with a Course Provider as part of the process of enrolling in that Course Provider’s program, we may:

provide your personal information to that Employer to allow them to review your profile and contact you about job opportunities or networking programs; and
provide any work you complete as part of the Online Program to the Course Provider sponsoring that Online Program.
Our Privacy Notice explains: (i) how we store and use, and how you may access and correct your personal information; (ii) how you can access and update or request a copy of your personal information and how you can delete your account; (iii) how you can lodge a complaint regarding the handling of your personal information; and (iv) how we will handle any complaint. By providing your personal information to us, you consent to the collection, use, storage and disclosure of that information as described in the Privacy Notice and these Terms.

Accuracy, completeness and timeliness of information
The information on the Site is not comprehensive and is intended to provide a summary of the subject matter covered. While we use all reasonable attempts to ensure the accuracy and completeness of the information on our website, to the extent permitted by law, we make no warranty regarding the information on the Site. You should monitor any changes to the information contained on this website.

A breach or violation of any of these Terms will result in an immediate termination of your use of the Site and removal of your profile from the platform.

To the maximum extent permitted by law, we make no warranties or representations about this website or the Content, including but not limited to warranties or representations that they will be complete, accurate or up-to-date, that access will be uninterrupted timely or error-free or free from viruses, or that this website will be secure.

Liability

You agree to indemnify, defend and hold harmless DeepTech IP and our parent, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns and employees, harmless from any claim or demand, including reasonable attorneys’ fees, made by any third-party due to or arising out of your breach of these Terms of Service or the documents they incorporate by reference, or your violation of any law or the rights of a third-party.

User’s conduct, representations and warranties
Each and every user warrants and represents that while you access or use the Site or its related products or services you agree:

you agree that any information or content that you post, transmit or receive through the Site will not be considered confidential. The User grants DeepTech IP an unlimited, irrevocable, royalty-free license to use, reproduce, display, edit, copy, transmit, publicly perform or communicate to the public any such information and content on a worldwide basis; and
you will not transmit through the Site any unlawful, harassing, libellous, abusive, threatening, vulgar, obscene, racist, harmful or otherwise objectionable material of any kind.

Severability
You agree to indemnify, defend and hold harmless DeepTech IP and our parent, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns and employees, harmless from any claim or demand, including reasonable attorneys’ fees, made by any third-party due to or arising out of your breach of these Terms of Service or the documents they incorporate by reference, or your violation of any law or the rights of a third-party.

Termination
The obligations and liabilities of the parties incurred prior to the termination date shall survive the termination of this agreement for all purposes.

These Terms are effective unless and until terminated by either you or us. You may terminate these Terms at any time by notifying us that you no longer wish to use our Services, or when you delete your profile from our Site.

If in our sole judgment you fail, or we suspect that you have failed, to comply with any term or provision of these Terms, we also may terminate this agreement at any time without notice and you will remain liable for all amounts due up to and including the date of termination; and/or accordingly may deny you access to our Services (or any part thereof).

Entire Agreement
The failure of us to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

These Terms and any policies or operating rules posted by us on this site or in respect to our services constitutes the entire agreement and understanding between you and us and govern your use of the services, superseding any prior or contemporaneous agreements, communications and proposals,whether oral or written, between you and us (including, but not limited to, any prior versions of these Terms).

Any ambiguities in the interpretation of these Terms shall not be construed against the drafting party.

Jurisdiction and governing law
These terms and conditions are governed by the laws of the State of New South Wales.  Each of us submits to the non-exclusive jurisdiction of courts exercising jurisdiction there in connection with all matters concerning these terms and conditions.
